Back in May 2013, MyCorporation launched Registered-Agent.com, which was a website and project that was focused on an area of business very close to my heart. When I would talk to business owners trying to get their LLC or Corporation back in good standing with the state, oftentimes they blamed their business’s standing on renewal paperwork getting lost, or on their own selves for forgetting to pay a filing fee. A business’s registered agent is usually where the state delivers that paperwork, but a lot of business owners just acted as their own RA, or tapped a friend or family member, to try and save money. Then, in the shuffle of life, paperwork was forgotten about. That was an extreme concern of mine, especially since a registered agent is also the person or firm to which services of process will be delivered in the event of a lawsuit. If you don’t answer a service of process immediately, you could wind up facing some serious legal problems. My decision to establish our new registered site, then, was based on three premises.
Though a registered agent is mainly supposed to be there in case a business is sued, many states also use registered agents as a point of contact between the government and a business. They wind up sending important paperwork like notices of changes in law and renewal reminders to the registered agent, who is then supposed to pass it on to their client business. However, I was being told stories of registered agents that ran their service out of their garage or house and had trouble juggling multiple clients. Paperwork wasn’t delivered, and businesses fell out of compliance. In some states and cases this just means a small fee has to be paid, but many states aren’t so lenient and hit you with hefty penalties. To a new business just starting out and already struggling to pay the bills, that penalty could be their death knell. An affordable, dependable registered agent can help avoid those sorts of problems.
Registering and running a corporation or LLC in multiple states are already complicated enough processes. Each state and locality will have its own laws and regulations that the business has to contend with, and important renewals or fee payments can easily slip through the cracks. As I mentioned above, a registered agent serves a much broader purpose than simply being the person to which services of process are delivered to, which makes choosing a Registered Agent an important decision.
